LICENCE Agreement FOR PROSE 2.0.0 ("PROSE")

Important: Please read this licence agreement for PROSE 2.0.0 ("Licence Agreement"), together with the Terms and Conditions and our Privacy Policy, before clicking "Agree" or using PROSE (the "Application").

1.             AGREEMENT: (a) By clicking "Agree", or downloading or using the Application, you agree to be bound by the terms and conditions of this Licence Agreement, the Terms and Conditions and our Privacy Policy (each a "Related Agreement", and together the "Agreement"). (b) If you are agreeing to the Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to the Agreement and references to "you" and "your" includes that company or other legal entity. (c) If you do not agree to the terms and conditions of the Agreement, do not click on the "Agree" button and do not download or use the Application.

2.             LICENCE: (a) Document Modelling Pty Ltd ABN 13 154 671 333 ("Document Modelling" or "we" or "us") grants you a limited revocable, non-exclusive, non-transferable license to download, install and Use the Application for the Term and strictly in accordance with the terms of this Agreement ("Licence"). (b) Use of the Application includes the ability to store Application files in the Application database, as provided by us at our sole discretion ("Application DB"), in accordance with the terms and conditions of the Agreement. (c) This Licence is valid for a single individual named user as identified by the email address provided to us upon downloading the Application ("Authorised User"). (d) The Authorised User may Use the Application on no more than two (2) desktop computers owned or controlled by you, and not on any other machine or device. (e) In this Licence Agreement, "Use" means to use the Application solely for its intended purposes and strictly in accordance with clause 7 (Restrictions).

3.             TERM: (a) The Licence commences upon the date of purchase of your Subscription or date of first download of the Application (whichever occurs earlier) and is valid during the Subscription Period, subject to clause 15 (Termination and Suspension). (b) On the expiry of the Subscription Period or any Further Subscription Period, the Licence will automatically renew for a further Subscription Period on a rolling monthly/yearly basis, as applicable (each a "Further Subscription Period" and together the "Term"), subject to clause 17 (Termination and Suspension).

4.             SUBSCRIPTION: In this Licence Agreement: (a) "Subscription" means either (i) the monthly subscription for the Application; or (ii) the annual subscription for the Application, as provided by us; and (b) "Subscription Period" means (i) in the case of paragraph (a)(i), one (1) calendar month; or (ii) in the case of paragraph (a)(ii), one (1) calendar year; and in each case, commencing on the date of purchase of the Subscription. (c) You acknowledge and agree that the Subscription is subject to the terms and conditions of the Agreement.

5.             FEES AND CHARGES: In this Licence Agreement: (a) "Subscription Fees" means the subscription fees charged or payable in advance for each Subscription Period, as determined by us from time to time. (b) All Subscription Fees are excusive of GST except as expressly stated otherwise. (c) Where you use a valid "Referral Code" to purchase a Subscription, the amount of Subscription Fees may be varied in accordance with the terms and conditions of the Referral Code, as determined by us from time to time. (d) You acknowledge and agree that the Subscription Fees will be charged to your nominated payment method on the first day of each Subscription Period, subject to clause 6.

6.             FREE TRIAL: (a) Unless expressly stated otherwise, any Subscription purchased will include a one-off free trial period, commencing on the date of purchase of the Subscription and ending 14 consecutive days later ("14-day free trial"). (b) No amount of Subscription Fees will be charged or payable during the 14-day free trial period. (c) Upon expiry of the 14-day free trial, the Subscription Fees for the then current Subscription Period (calculated on a pro rata basis) will be charged to your nominated payment method.

7.             RESTRICTIONS: You agree not to, and you must not permit any other person or enable any thing to (except to the extent expressly permitted by applicable law): (a) copy, license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or the Application DB; (b) make the Application or the Application DB available to any person other than the Authorised User; (c) use the Application for any revenue generating endeavour, commercial enterprise or other purpose for which it is not designed or intended except for personal, non-commercial purposes; (d) alter or modify the Application, or merge any part of the Application with any other computer software programs, or translate or create derivative works from the Application; (e) remove, alter or obscure any copyright, trademark or other proprietary notice associated with the Application; (f) decrypt, decompile, disassemble or reverse engineer the object code of the Application, or alter or circumvent any licence key or other technological protection mechanism associated with the Application or the Application DB; (g) fail to comply with any applicable laws, rules or regulations in connection with your use of the Application; or (h) attempt to do any of the things described in paragraphs (a) to (g) above."

8.             SECURITY MEASURES: You must implement and maintain all reasonable security measures to safeguard the Application against unauthorised access and misuse by any person or thing, including (without limitation) (a) keeping secret and not disclosing your log in email and password to anyone; and (b) installing and maintaining market standard virus protection software on your desktop computer on which the Application is installed and any linked networks.

9.             INFORMATION WE COLLECT: (a) You acknowledge and agree that we may collect and use certain information relating to your use of the Application including (without limitation) (i) to verify your identity and contact information, (ii) to ensure proper use of the Application, and/or (iii) to maintain and improve the Application, our services and/or our customers" experience. (b) The information we may collect includes (without limitation) (i) information and meta-data relating to your use of the Application and the Application DB, (ii) your session information (e.g., number, duration, error messages, types/number of users and applications used) and your browser and operating system information; and (iii) any feedback which you may send us from time to time. (c) If you provide feedback, report a bug, or send comments or suggestions to us through the "Help Menu" in the Application, via https://tryprose.com (the "Website"), any service desk or other customer portal that we may make available (as applicable), or otherwise, you acknowledge and agree that we may use this information without compensation or credit in accordance with applicable laws. (d) You acknowledge and agree that our Privacy Policy governs the way we collect and use "personal information" (within the meaning of the Privacy Act 1988 (Cth)) and nothing in this clause 9 limits or restricts any provision of our Privacy Policy.

10.           UPDATES AND MODIFICATIONS: (a) We may regularly update the Application with new features and bug fixes as needed. (b) Document Modelling reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

11.           VARIATION: (a) Document Modelling may, in its sole discretion, modify, revise or replace this Licence Agreement at any time. We will provide you with at least 15 days" notice of any material changes before such new terms take effect. (b) Your subsequent or continued use of the Application will signify your acceptance of any changes to the Agreement.

12.           INTELLECTUAL PROPERTY: (a) Except as expressly provided in this Licence Agreement, the Application, its contents and its trademarks are the exclusive intellectual property of Document Modelling. (b) You agree that the Agreement will not result in any transfer of rights, title or interest in or to the Application or Document Modelling"s intellectual property or other rights of a like or similar nature.

13.           THIRD PARTY SOFTWARE: (a) The Application may include open source and third party software, data and other materials under licence from their respective owners. (b) You acknowledge and agree that the third party terms and conditions included in ANNEX 1 (below), and as otherwise notified to you from time to time, shall form a part of the Agreement. (c) No provision of the Agreement limits or restricts your rights or obligations under the specific terms and conditions set out in ANNEX 1: THIRD PARTY SOFTWARE TERMS & CONDITIONS.

14.           INFRINGEMENT ACKNOWLEDGEMENT: You and Document Modelling acknowledge and agree that in the event of a third party claim that the Application (and/or the Application DB) or your possession or use of the Application infringes any third party"s intellectual property rights, you must promptly notify Document Modelling in writing of any such claim and Document Modelling will be entitled at any time from notification to assume exclusive conduct of the claim (including, without limitation, any investigations, proceedings, defence, negotiations, dispute resolution efforts and settlement) and until such time (if at all) as Document Modelling chooses to assume exclusive conduct of the claim, you must: (a) not admit any liability or agree to any settlement or compromise of the claim, without prior written consent of Document Modelling; (b) give Document Modelling all reasonable assistance and information in connection with the claim; (c) take all proper action so as to minimise the extent of any loss and damage; and (d) you (and not Document Modelling) will be responsible for the investigation, defence, settlement and discharge of the claim."

15.           AUDIT: (a) Document Modelling may, for any reason, upon reasonable notice, conduct an on-premise or remote audit (either itself or through a third party auditor appointed by Document Modelling) of your use of the Application for the purpose of determining compliance with the Agreement. (b) You must provide all reasonable assistance and information requested by Document Modelling in connection with the conduct of any audit.

16.           TERMINATION AND SUSPENSION: (a) Document Modelling may, in its sole discretion, at any time, immediately terminate or suspend the Licence with or without prior notice where: (i) you fail to comply with the terms and conditions of the Licence; or (ii) you fail to pay the Subscription Fees due and owing; and (b) you must promptly remedy the failure upon demand in accordance with any instructions given by Document Modelling. (b) Document Modelling may, in its sole discretion, at any time and for any or no reason, terminate or suspend this Licence Agreement with or without prior notice. (c) You may terminate this Licence Agreement by (i) deleting the Application (and all copies of it); (ii) paying all fees and monies due and owing; and (iii) providing written confirmation of the same to support@tryprose.com. (d) Upon termination or suspension of this Licence Agreement or the Licence, you must immediately cease all use of the Application and delete all copies of the Application. (e) Termination or suspension of this Licence Agreement or the Licence will not relieve your obligation to pay all fees and monies due and owing under this Agreement.

17.           EQUITABLE RELIEF: (a) You acknowledge and agree that Document Modelling may be irreparably harmed by a breach of the terms of this Licence Agreement and damages alone may not be an adequate remedy. (b) You agree that, in addition to any other rights or remedies, Document Modelling will have the right to enforce the Agreement by injunctive or other equitable relief without the need to prove actual damages or post a bond.

18.           SURVIVAL OF TERMS: Upon termination, suspension or expiry of this Licence Agreement or the Licence, all provisions of the Agreement which by their nature should survive and inure will survive and inure accordingly; including, without limitation, provisions relating to ownership of intellectual property, non-infringement, third party software, disclaimers, indemnity, limitation of liability, exclusion of warranties, remedies, governing law and jurisdiction.

19.           WARRANTIES AND DISCLAIMERS: YOU ACKNOWLEDGE AND AGREE THAT THE APPLICATION INLCUDING THE APPLICATION DB IS PROVIDED "AS IS". DOCUMENT MODELLING EXPRESSLY DISCLAIMS ALL WARRANTIES, CONDITIONS AND TERMS, WHETHER ORAL OR WRITTEN, EXPRESS OR IMPLIED (BY STATUTE, COMMON LAW OR OTHERWISE) INCLUDING, WITHOUT LIMITATION, AS TO ACCURACY, AVAILABILITY, TIMELINESS, COMPLETENESS, RESULTS, OUTPUT, PERFORMANCE, FREEDOM FROM DEFECTS, ERRORS OR PERFORMANCE INTERRUPTION, TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY, QUALITY OF INFORMATION, QUIET ENJOYMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE (EVEN IF DOCUMENT MODELLING HAS BEEN INFORMED OF SUCH PURPOSE), AS WELL AS ANY REPRESENTATIONS, EXPRESS OR IMPLIED WARRANTIES OR OTHER TERMS ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING, OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, DOCUMENT MODELLING MAKES NO WARRANTY THAT THE APPLICATION OR THE APPLICATION DB WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS.

19A. Additional Terms for Australian Consumers:           (a) For the purposes of the Competition and Consumer Act 2010 (Cth) ("CCA"), if you are a "consumer" (within the meaning of the CCA) in relation to warranties against defects under this Agreement: you acknowledge and agree that (i) to be entitled to claim under the warranty, you must immediately cease use of the Application and notify Document Modelling of the defect by email to support@tryprose.com or other email address which may be notified to you from time to time; (ii) you, and not Document Modelling, will be responsible for any expenses associated with the claim; (iii) any benefits provided to you by the warranty are in addition to other rights and remedies available to you under applicable law. (b) We note that our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. (c) The limitations, exclusions and disclaimers contained in this Agreement shall not apply to the extent that they purport to exclude any warranties or consumer guarantees that cannot be excluded under Australian law (including, without limitation, consumer guarantees as to title and acceptable quality under the CCA). (d) The limitations of liability set forth in this Agreement shall not apply with respect to breach of any statutory guarantee, in which case Document Modelling"s liability shall be as set out in this clause 19A.

20.           LIMITATION OF LIABILITY: (a) You acknowledge and agree that, to the maximum extent permitted by law, the entire risk arising out of your use of the Application remains with you and you use the Application at your own risk. (b) Document Modelling will not be responsible and excludes all liability, to the maximum extent permitted by law, for any damages, loss, costs and expenses of any kind whatsoever, whether or not Document Modelling has been informed of the possibility of it. Without limiting the foregoing, in no event or circumstance will Document Modelling's total aggregate liability (including in respect of third party claims), and that of its officers, directors, employees and agents, arising out of or in connection with this Agreement or from the use of or inability to use the Application or any third party content or services, exceed one hundred and seventy-five Australian dollars (AUD 175). (c) The limitations of liability set forth in this clause 20 are fundamental elements of the basis of the Agreement between you and Document Modelling.

21.           GENERAL: (a) Related Agreements: This Licence Agreement may incorporate related documents by reference including the Terms and Conditions and our Privacy Policy, which we may update from time to time on our Website. Please check the Website periodically for updates and changes to the Agreement. (b) Delivery of Notices: Any notices required to be given by Document Modelling under this Licence Agreement will be in writing and sent to the email address associated with the Authorised User. All notices required to be given to Document Modelling under this Licence Agreement must be sent to support@tryprose.com unless another address is provided by Document Modelling. For notices given by email, the date of transmission will be deemed to be the date on which such notice is given. (c) No Assignments or Transfers of Rights by You: You must not assign or transfer any rights or obligations under this Licence Agreement. Any attempt by you to assign or transfer this Licence Agreement will be null and void. Document Modelling may assign or transfer this Licence Agreement, at its sole discretion, without restriction. Subject to the foregoing, this Licence Agreement will bind and inure to the benefit of the parties, their successors and permitted assigns. (d) No Third-Party Beneficiaries: Except as otherwise mandated by applicable law, you agree that this Licence Agreement is intended for you and you alone and there will be no third party beneficiaries of this Licence Agreement. (e) No Waiver: The failure of Document Modelling to enforce any right or provision of this Licence Agreement will not constitute a waiver of future enforcement of that right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorised representative of Document Modelling. (f) Severability: If any provision of this Licence Agreement is found by a court of competent jurisdiction to be unenforceable or invalid, that provision will be changed and interpreted to accomplish the objectives of the provision to the greatest extent possible under applicable law and the remaining provisions will remain in full force and effect. (g) Governing Law and Jurisdiction: This Licence Agreement and any disputes arising out of or in connection with it will be governed by the laws of the State of New South Wales, Australia. (ii) Each party submits to the exclusive jurisdiction of the courts of the State of New South Wales, Australia.

An almost complete rewrite of MySpell for use by the Mozilla project has been developed by David Einstein (Deinst@world.std.com). David and I are now working on parallel development tracks to help our respective projects (Mozilla and OpenOffice.org and we will maintain full affix file and dictionary file compatibility and work on merging our versions of MySpell back into a single tree. David has been a significant help in improving MySpell.
